The Company Shareholders Electronic Registry system has been designed and developed based on a Client/Server architecture. It operates in a multi-user, multi-company environment. A main characteristic of the system design is its common client database. This way, redundancy as well as duplicated client information for clients who are shareholders of multiple companies is avoided.
The system comes in two versions: The first version is ideal for public companies that wish to keep and manage their own registries internally. The second version is suitable for custodian houses who wish to keep and manage registry records for multiple companies within a single system.
The system modules are briefly described below:
User Maintenance: Users can be set up with a unique password allocated to them by the software's system administrator. Once this setting up procedure is complete, users can have access only to modules specified by the administrator.
Customer Maintenance: Each newly created shareholder record is stored in a common database. Shareholder records are subsequently available for connection to any company handled by the system. This way data duplication is avoided. Company shareholders can be either individual investors or companies/institutions. In each case, the information need to be entered is different, based on shareholder type.
Company Maintenance: Using this module, a user with sufficient permissions can set up a new company as well as connect all the financial instruments associated with it (Common stock, preferred stock, warrants etc)
Trade Input: This module provides all the necessary tools for transactions processing (purchases, sales, bonus, splits etc). Transaction details for purchases and sales are divided into two sub-sections: The buyer details and the seller details. If the buyer does not already exist in the system, the user has the ability to create the shareholder and directly link the account to the buyer information. In the seller's section, all accounts linked to the particular shareholder are listed. Once the user selects a particular account, all titles connected to that account are listed and are made available for trading. Once the trade input is complete, the selected shareholder titles are cancelled and new ones are generated.
Portfolio Accounts Maintenance: For each company handled in the system, portfolio accounts can be set up via the Accounts Maintenance Module. These accounts can be either direct or joined. Joined accounts can have between two to five shareholders linked with them. Each shareholder can have an unlimited number of both direct and joined accounts. The system supports the following account types: Trustee, Nominee, Custodian, Investor and Under Management.
Split/Merge Titles: Titles that are not cancelled or are not pledged can be merged together or get split. The merge process can be applied to a batch of titles.
Corporate Actions: The corporate actions module allows the user to set up corporate actions for a selected financial instrument. Currently the system supports the following actions: Split, Conversion, Bonus Shares, Bonus Money, Dividend, Option Schemes, and Debentures Interest. In corporate actions involving cash, the system provides the ability to directly generate and print the corresponding cheques.
Reporting: The system provides a set of predefined reports such as certificate status report, shareholders statement, daily transactions report, detailed daily transactions report, list of titles report, list of titles generated on a specific entry date, list of titles generated on a specific trade date and others.
